Terms of Service Timesheet
By using the watch-asp.cn timesheet website (called “Timesheet” in this document), all services of TwinTown SIP Software Dev., Co., Ltd called “TwinTown” in this document, you have agreed to be bound by the terms and conditions described in this document called the Terms of Service.
TwinTown has the right to update and change the Terms of Service from time to time without notice. Any new functionality or services that enhance the current Service shall be subject to these Terms of Service. If you continue to use the Service after any such changes, you agree to such changes and their meaning. The applicable version of the Terms of Service can be viewed any time at: here
Account Terms
- You must provide all required information requested in the registration page.
- Automated methods of use of- or access to- the Service are prohibited without the express written consent of TwinTown.
- You are responsible and liable for maintaining the security of your user name and password. TwinTown will not be liable for any loss or damage from your failure to comply with this security obligation.
- You may not use this Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction.
- You are responsible and liable for all content posted to the Service and any activity that occurs under your account.
- Violation of any of the terms in this document will result in the termination of your account. While TwinTown prohibits such conduct and content on the Service, you understand and agree that TwinTown cannot be responsible for the content posted on the Service and you may nonetheless be exposed to such materials.
- You are not allowed to modify, adapt, hack or gain unauthorized access to the Service or modify another website so as to falsely imply that it is associated with the Service, MTwinTown or Timesheet.
- You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without express written consent of TwinTown.
Service
- The Service is provided on an “as is” and “as available” basis. TwinTown does not warrant that the Service will:
- meet any specific requirements including but not limited to yours
- the service will be uninterrupted, timely, secure, or error-free
- the results that may be obtained from the use of the service will be accurate or reliable
- the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations
any errors in the Service will be corrected
- TwinTown is not responsible for unauthorized access or modification of client data stored by or transmitted via TwinTown services. TwinTown is not responsible or liable for any content sent using, or received from, TwinTown services including that which may be illegal, obscene, defamatory, threatening or that may violate any trademark or copyright.
- You understand that the technical processing and transmission of the Service, including your content, may be transferred unencrypted and involve transmissions over various networks; and changes to conform and adapt to technical requirements of connecting networks or devices.
Payment Policy
- Prices of all Services, including but not limited to monthly subscription plan fees to the Service, are subject to change without prior notice. Such notice may be provided at any time by posting the changes to the Timesheet website www.watch-asp.cn or the Service itself but TwinTown is under no obligation to do so.
- If prices are decreased, any active subscriptions are not affected by the pricing change.
- If prices are increased, existing customers with active subscriptions at the time of the price change, upon their next purchase, purchase the Service from Timesheet at the pricing level before the pricing change within a period of one year from the date of the pricing change. This only affects subscriptions within the one year period when renewing or upgrading the Service, as described in Section 6, part b and part c.
- The Service is activated only after receipt of payment.
- All monetary transactions will occur in Chinese yuan.
- All payments are due on the last date of the payment plan.
- If an account enters the grace period, any subsequent payments for the Service will commence from the end date of the previous Service subscription period.
- Accounts will have a grace period of 14 days after payment due date. After 14 days the account will be suspended and access denied without further payment.
- The length of the grace period is subject to change without notice.
Refund Policy
- If you choose to unsubscribe within seven (7) days of the time we setup access to your service, we will give you your money back for that service.
- Offer applies to new customers and existing customers signing up for a service for the first time only. Renewals and upgrades of existing services are ineligible for this offer.
- New customers and existing customers signing up for a service for the first time only can get a full refund if they choose to unsubscribe within seven days of the time we setup access to their service, per our Money-Back Guarantee.
- There are no refunds for unused subscription time in case of early account cancelation.
Change in Subscription
- Cancellation
- Customers may cancel their account at any time by emailing sales@watch-asp.cn with their account information and may be subject to additional account verification procedures.
- Customers will not be issued a refund for previously purchased Services after cancellation, unless it meets the criteria in the Refund Policy
- Renew
- If the Service plan is renewed, where renewed is defined as a change in the Service plan with an equal number of users for the Service, and with an equal or differing length of the Service, then the new Service subscription plan will commence from the end date of the current Service plan.
- Upgrade
- If a plan is upgraded from the current plan, where upgraded is defined by a change in the Service plan with a greater number of users for the Service, and equal or differing length of the Service than the current plan, then the upgrade will commence from the date of payment receipt and the remaining value of the current Service plan will be deducted from the cost of the upgraded plan.
- Downgrade
- If a plan is downgraded, where downgraded is defined as a change in the Service plan with fewer users than in the current plan with an equal or differing length of the Service, then the downgrade will take effect at the end of the current subscription length and no refund will be provided for the value of the remainder of the current Service subscription length.
Add-on Services
- Additional service may be added at any time. Payment policy applies to all add-on services.
Renewal and Billing Schedule
- Timesheet does not provide automated billing and will not automatically renew a subscription on behalf of the customer. It is the responsibility of the customer to renew their account and provide payment for the Service.
Account Reactivation
- If an account was cancelled due to client request and the client desires to reactivate the account, Timesheet and TwinTown will reactivate the account. Accounts are reactivated after all outstanding charges are paid. If an account was cancelled due to policy violation, the account will not be reactivated.
- Musthave makes no guarantees that any data will be retained after a client cancels an account. Musthave is not held liable for any data removed after a client requests to cancel an account or an account is cancelled due to a policy violation.
Account Data Retention
- TwinTown will make efforts to retain client data for a reasonable amount of time after account cancellation or expiry of the Service subscription so as to prevent immediate data loss to the client, but does not guarantee the retention of said data if an express written agreement is made between Musthave and the client.
- TwinTown retains the right to remove or prevent access to data after the expiry of the aforementioned grace period or account cancellation or deletion.
Policy Violation reserves
- TwinTown retains the right to terminate or refuse service to anyone or discontinue service to anyone violating its policies. If an account is terminated for a policy violation, there will be no refund. TwinTown retains the right to delete the violating account data without notice.
Support
- Support is provided for all paying clients via email, bug reporting software and support documents in the support section of the website {insert link}. Support inquiries will be answered within 2 business days and will be resolved as quickly as possible, although Musthave is under no obligation to due so. The client agrees not abuse or spam support.
- Technical representatives will diagnose issues related to server connectivity, software issues, IDs and password. Technical support will not diagnose issues with Third-party software.
Warranties and Indemnities
- User agrees to defend, indemnify and hold harmless TwinTown against any liabilities arising out of defective products sold to clients from TwinTown servers, personal injury or property damage caused by products or services sold or distributed from TwinTown servers, any material that infringes or allegedly infringes on the rights of a third party available from TwinTown servers, and any material that libels or allegedly libels a third party available from TwinTown servers
- EXCEPT AS OTHERWISE EXPRESSLY STATED HEREIN, THERE ARE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, AS TO THE VALUE, CONDITION, DESIGN, FUNCTIONING, OF THE SOFTWARE OR ANY USE OF THE SOFTWARE, MERCHANTABILITY, FITNESS FOR ANY PURPOSE OR USE OF THE SOFTWARE, FREEDOM FROM INFRINGEMENT OR ANY OTHER REPRESENTATION OR WARRANTY WHATSOEVER WITH RESPECT TO THE SOFTWARE. COMPANY SHALL NOT BE LIABLE TO ANY USERS OF THE SOFTWARE, INCLUDING USER, FOR ANY INCIDENTAL, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES, LIABILITY, LOSS OR DAMAGE CAUSED OR ALLEGED TO HAVE BEEN CAUSED BY THE SOFTWARE.
- User further agrees to indemnify, hold harmless, and defend TwinTown from and against any and all claims or lawsuits including attorney's fees that arise or result from the use or distribution of User applications or services provided by User.
